Shelf Companies

When do you need a shelf company?

There are many reasons why shelf companies are registered. Here are the main ones:

  • You have an upcoming deal with a counterparty and no company to conclude it with.
  • You need to add an offshore company to the founders of an existing company.
  • You need to acquire property in the name of an offshore company.
  • You want a company registered several years ago to build a reputation as a stable, operating company. 

What documents are needed to transfer the company?

You need to provide proof of identity: an ID card, a national passport or an international passport.

For citizens of Ukraine: the national passport with registered address and, if available, the international passport so that the details are entered correctly in the company documents.

Which documents are prepared?

  • power of attorney, which authorises the client to act on behalf of the company — conclude contracts, open and operate the company's accounts, etc.
  • trust declaration, which declares who will be the beneficial owner of the company. 
  • nominee service agreement — this is a ready-made company, which means that at least one shareholder is already on the register and at least one director has been appointed. The agreement governs the relationship between the client and the nominee directors and shareholders. 

Timeframes and location of documents

  • Companies in the most popular jurisdictions are available in stock at our office. 
  • If a suitable company is not available at the office, we order it from the registered agent. Delivery of the documents takes up to 3 days. 
  • Transferring the company into the client's name takes about 20 minutes.
