New Zealand Offshore
Legislation
Companies in New Zealand are registered under the Companies Act 1993. Thanks to its specific legislation, a New Zealand offshore company makes it possible to enjoy all the advantages of a classic offshore company. New Zealand is not officially recognised as an offshore jurisdiction, so it is not on any "blacklists". It is an excellent alternative to British offshore companies.

Incorporators, directors, officers
- The company's founders may be persons from any country
- The registered office and address must be in New Zealand
- The company must have at least one shareholder and one director
- To keep the true owner of the company confidential, we provide a nominee service.
Shareholders' and directors' meetings
- Meetings of shareholders and/or directors are not mandatory; if necessary, they can be held by telephone or any other means of communication.
- If the shareholders and/or directors wish to hold a meeting, it can be held anywhere in the world.
- There is no requirement for annual general meetings of shareholders and/or directors.
Shares/Share capital
- Bearer shares are not permitted
- Shares are registered
- Shares without par value are not permitted.
- There are no requirements regarding the amount of share capital; the standard share capital is NZD 100
Confidentiality
- When a nominee service is used, the true owner of the company cannot be identified
Taxation
- The corporate income tax rate for New Zealand companies is 30%
- New Zealand companies are subject to tax, so they are classed as non-classic offshore companies.
- If the offshore company's activities are conducted outside the United Kingdom, it does not pay any taxes?
Reporting
- An annual return must be prepared every year and filed with the Companies Office together with the key data relating to the company.
Restrictions
- There are no restrictions on any type of company activity other than those subject to mandatory licensing.
Registration timeframe
- A company in the United Kingdom is registered within 30 working days of choosing a name.
