LTD company, a private limited company, is the most typical company for small and medium-sized businesses.

Such companies cannot offer their shares to just anyone, but there is no limit on the number of shares.
The shareholders of a limited company are not liable for the company's debts, although if necessary the director may need to guarantee loans or credit granted to the company. A legal entity can be the director and shareholder of an LTD. Companies of this type are often used in combination with a classic offshore company

Company registration

  • We can register an England offshore company, a UK LTD, with the name of your choice in about 1-2 days.
  • Names must comply with certain restrictions and end in LTD or Limited.
  • We will be happy to check the company name you have chosen.
  • You can also check whether a name is available for registration on the Companies House website.

Incorporators, directors and officers

  • Each company must have at least one director to make management decisions and one company secretary. (Note: the Companies Act 2006 states that appointing a company secretary is not a legal requirement)
  • If a non-resident client wishes, he can be a director and shareholder of the England offshore company.

Company requirements

  • The company must be registered with Companies House
  • Annual returns must be filed with Companies House
  • A small annual fee must be paid to Companies House every year
  • Nominee directors and shareholders are permitted
  • Directors may be non-residents
  • A director may be a legal entity

Share capital

  • There is no minimum share capital requirement

  • When a nominee service is used, the true owner of the company cannot be identified

Shares

  • Bearer shares are not permitted
  • Shares without par value are not permitted

Taxation

  • British limited companies are subject to tax, so they are classed as non-classic offshore companies.

Reporting

  • The annual return of an England offshore company must be prepared every year and filed with Companies House together with the key data relating to the company.

Restrictions

  • There are no restrictions on any type of company activity other than those subject to mandatory licensing.
